Oyster is seeking a Senior Counsel, Governance to lead entity formation and governance for its Global Expansions. You will own structuring decisions, manage filings, and build scalable governance processes with the Global Expansion team.

Based remotely, you will work with cross‑jurisdictional partners, regulators, and service providers to stand up new entities while ensuring audit-ready records and compliance from day one.

Qualificações

• 7+ years’ experience in corporate governance and entity formation across multiple jurisdictions.
• Hands-on experience establishing and maintaining corporate entities, not just advising on it.
• Experience interacting with regulators, secretarial providers, and external counsel.
• Experience in SaaS, tech, or EOR/HR-tech environments is desirable.

Responsabilidades

• Lead governance and structuring decisions for new direct entity launches, including form, ownership, and licensing.
• Drive hands-on work to stand up entities: filings, agents, appointments, banking, licensing.
• Conduct jurisdiction-specific regulatory research for licenses and governance requirements.
• Draft and maintain formation documents, board minutes, and governance policies.
• Collaborate with Global Expansion teams (Legal, Finance, Ops, People, Payroll, Treasury) to sequence launches.
• Identify regulatory risk early and propose practical, business-first solutions.
• Document repeatable processes and playbooks for entity formation and ongoing governance.
