Job summary

CITADEL Pacific Ltd. is seeking a seasoned Legal Counsel to provide expert legal advice, ensure regulatory compliance, and mitigate risks across the organization. You will support strategic decision-making and oversee contracts, governance, and corporate transactions.

The role requires a JD or LLB, active Philippine Bar membership, and at least 3 years of experience, ideally in a law firm setting. Excellence in communication and ethics is essential.

Qualifications

• JD or LLB degree required.
• Member of the Philippine Bar in good standing.
• Minimum 3 years of legal experience, preferably with a law firm.
• Strong knowledge of corporate, commercial, labor, and regulatory law.
• Experience in contract negotiation, litigation management, and compliance.
• Excellent communication, analytical, and problem-solving skills.
• High ethical standards and sound judgment.

Responsibilities

• Advise management on legal matters related to operations, contracts, governance, and compliance.
• Draft, review, and negotiate contracts, agreements, and internal policies.
• Ensure compliance with industry regulations and statutory requirements.
• Manage disputes and coordinate with external counsel for litigation.
• Conduct legal research and monitor changes in legislation affecting the business.
• Develop and implement risk mitigation strategies.
• Represent the company in legal proceedings and regulatory interactions.
• Support corporate transactions such as M&A, restructuring, and board governance.
• Provide training and guidance on legal and compliance topics to internal teams.
