Job summary

Overjet seeks a detail-oriented Compliance & Corporate Paralegal to bring state regulatory compliance and corporate entity management in-house. The role focuses on keeping Overjet in good standing across jurisdictions and supporting licensing, governance, and policy work.

The ideal candidate has 3+ years in compliance or corporate paralegal roles, with experience managing multi-state licensing and governance, and strong written communication with regulators.

Qualifications

• 3+ years of experience in a compliance, regulatory, or corporate paralegal role with US corporations.
• Experience managing global and multi-state licensing, registrations, and/or corporate good-standing obligations at scale.
• Strong knowledge of corporate governance principles and entity maintenance requirements.
• Excellent written communication and comfort corresponding directly with state agencies and regulators.
• Track record of researching state laws and drafting compliant policies and procedures with operational stakeholders

Responsibilities

• Own Overjet's multi-state regulatory licensing portfolio including industry-specific licenses and registrations required to operate.
• Track and maintain compliance with state healthcare and business regulatory requirements and monitor changes in applicable state laws and regulations that affect licensing obligations.
• Maintain a centralized compliance calendar covering all licensing, registration, and regulatory filing deadlines; ensure nothing lapses.
• Prepare, file, and track regulatory submissions with state agencies and boards; manage correspondence with regulators.
• Support the company's data protection and healthcare compliance programs (e.g., HIPAA, HITRUST) with documentation and audit readiness.
• Maintain corporate good standing across all states—annual reports, franchise tax filings, foreign qualifications, and good-standing certificates.
• Support contract management processes across the organization in collaboration with Revops, Finance, and business teams.
• Support corporate governance activities, including preparing board and stockholder consents, resolutions, and related documentation.
• Coordinate logistics for board and committee meetings, including scheduling, notices, and quorum tracking.
• Manage entity formation, qualification, dissolution, and conversion filings across domestic and international jurisdictions.
• Maintain good standing across all entities; monitor and manage registered agent services
• Support special projects and other duties as assigned.
