Job summary

HRTX in Pasay City is seeking a Legal Manager to serve as the primary legal advisor, ensuring compliance with corporate, commercial, and regulatory requirements across the business.

You will draft and negotiate contracts, manage corporate governance, and lead due diligence on partnerships and projects in energy, utilities, and industrial sectors.

Qualifications

• Must hold a law degree (LLB/JD) and be admitted to the Philippine Bar.
• 8-10 years of relevant legal experience, preferably in power, energy, renewable energy, utilities or industrial sectors.
• Strong experience in contract negotiation and regulatory compliance.
• Excellent stakeholder management, communication, and analytical skills.

Role Overview

The Legal Manager will serve as the primary legal advisor to the organization, ensuring compliance with all corporate, commercial, and regulatory requirements.

Key Responsibilities

• Provide legal advice across business units, particularly on matters involving corporate law, commercial contracts, regulatory compliance, and project transactions.
• Draft, review, and negotiate contracts, agreements, and legal documents relevant to operations, procurement, and major projects.
• Lead legal due diligence for partnerships, investments, and project developments.
• Manage legal risks and ensure timely resolution of legal issues.
• Oversee corporate governance requirements and ensure compliance with statutory filings.
• Coordinate with external counsel and regulatory bodies as needed.
• Conduct legal research, ensuring the company stays updated on laws affecting energy, utilities, infrastructure, and industrial operations.
• Provide guidance on permits, licensing, and regulatory matters crucial to operations within the power/energy sector.
• Mentor and supervise junior legal staff when applicable.
