Role Description

The Corporate Law Associate will handle a wide range of corporate and commercial matters, including drafting, reviewing, and negotiating contracts, corporate documents, and transactional agreements. The role involves conducting legal research, preparing opinions and memoranda, and assisting in structuring corporate transactions and regulatory compliance. The associate will support due diligence exercises, participate in client meetings, and coordinate with regulatory agencies and other stakeholders as needed. Responsibilities also include preparing transaction-related documentation, assisting in corporate housekeeping, and contributing to internal knowledge development. This is a full-time, on-site role based in Metro Manila.

Qualifications

• Strong foundation in Corporate Law, with experience or academic focus in corporate and commercial transactions.
• Proficient Analytical Skills and Due Diligence capabilities, including the ability to review complex documents and identify legal and business risks.
• Effective Communication skills, both written and oral, with the ability to present clear, concise, and well-reasoned advice to clients and colleagues.
• Basic understanding of Finance concepts relevant to corporate transactions, mergers and acquisitions, and regulatory compliance.
• Juris Doctor or Bachelor of Laws degree from an accredited law school; admission to the Philippine Bar (or pending results) preferred.
• High level of professionalism, integrity, and attention to detail, with the ability to manage multiple matters and meet strict deadlines.
• Strong teamwork and collaboration skills, with openness to mentoring, feedback, and continuous learning.
• Prior experience or internships in corporate or commercial law practice are an advantage.
