Job summary

Billease Bank, Inc. seeks an Associate General Counsel to provide full-time legal, regulatory, and corporate services for a digital-centric rural bank. You will align the Bank’s posture with BSP/SEC rules, manage governance, and support group-wide legal matters.

The role requires drafting and negotiating contracts, coordinating annual filings, and handling corporate housekeeping, risk and compliance programs, AML/CFT and consumer-protection processes.

Qualifications

• JD or equivalent law degree; active Philippine Bar membership.
• 3–4 years in corporate law, banking or financial services.
• Knowledge of MORB, General Banking Law and Rural Banks Act.
• Familiarity with AMLA, Data Privacy Act and related BSP rules.
• Strong analytical and proactive risk-mitigation skills.
• Proven contract drafting, review, and negotiation experience.

Responsibilities

• Advise management and Board on regulatory compliance and governance.
• Draft, review, and negotiate banking and commercial agreements.
• Maintain corporate records, filings, and secretarial duties.
• Coordinate regulatory filings with BSP and SEC; support digital transitions.
• Manage litigation, disputes, and interaction with external counsel.
• Support AML/CFT, consumer protection compliance, and risk controls.
