Job summary

Billease Bank, Inc. (A Rural Bank) seeks an Associate General Counsel to deliver full-time legal, regulatory, and corporate services in support of banking, corporate, and consumer-protection laws.

The AGC will report to the President and General Counsel of the Billease Group, working closely with the Group Legal team on intra-group matters and the bank’s digital-centric transition. The role involves advising management and the Board on compliance, governance, regulatory filings, and risk

Qualifications

• JD or equivalent law degree, member of the Philippine Bar in good standing.
• 3–4 years of corporate law practice, preferably with banking/financial services experience.
• Working knowledge of Philippine banking, corporate, and financial regulatory law (MORB, General Banking Law, Rural Banks Act, AMLA, DPA, CFP Act).
• Strong analytical and problem-solving abilities with proactive risk mitigation.
• Proven experience in contract drafting, review, and negotiation; regulatory compliance management.

Responsibilities

• Regulatory compliance and bank governance support, including MORB, Rural Banks Act, General Banking Law and BSP issuances.
• Draft, review, and negotiate commercial agreements; establish contract management processes.
• Provide corporate secretarial services and maintain board documentation and statutory records.
• Manage litigation and coordinate with external counsel for cost-effective representation.
• Support AML/CFT and consumer protection compliance and related regulatory requirements.
• Assist with corporate transactions, capital matters, and ownership changes requiring BSP approval.
• Collaborate with Compliance, Risk Management, and Internal Audit to manage legal/regulatory risks.
