Job summary

Aotearoa New Zealand Association of Social Workers seeks a part-time Board Secretary to coordinate Board meetings, prepare papers, and maintain governance records. Working with the CEO and Board Chair, you will manage confidential information and ensure timely minutes via Diligent.

You should be highly organized, able to work independently, and flexible to the governance cycle, with strong written and verbal communication and experience in not-for-profit governance. NZ residency is required.

Qualifications

  • Proven experience in a board secretary or senior governance support role.
  • Understanding of not-for-profit governance frameworks and obligations (desirable).
  • Experience in the preparation of board-level papers and excellent minute-taking skills.
  • Strong relationship management skills – able to work effectively with Board members, executives, and external stakeholders.
  • Strong written and verbal communication skills, with experience drafting Board/executive correspondence.
  • High level of discretion and professionalism in handling confidential information.
  • Confident in the use of Diligent (or similar Board application) or willingness to learn board governance software.
  • Excellent time management and ability to deliver Board minutes in an efficient turnaround time post Board meeting.
  • Experience developing policies and procedures would be an advantage.
  • Proficiency in Microsoft Office Suite.

  • Preparing, reviewing and distributing Board papers and governance documentation.
  • Managing confidential documents, governance records and the distribution of agendas and papers through Diligent.
  • Building trusted relationships with the CEO, Board members and Committee Chairs.
  • Contributing to the continuous improvement of governance processes and systems.
  • Liaison with CEO, Board members, Senior Leadership Team, HOD’s and the Board contributors to ensure effective meetings.

Job description

The Opportunity

A newly created part-time internal role. The organisation envisages 4-6 days per month, except January, with Board meetings typically falling in the 3rd week of the month. You’ll be highly organised and self-managing, comfortable working independently and able to flex your hours to meet the Board’s governance cycle. You’ll also be a detail-oriented professional who understands the importance of good governance and enjoys working behind the scenes to help the Board operate effectively.

The Board Secretary will coordinate the planning and delivery of Board meetings and provide high-quality governance support. Effective governance processes, accurate records, seamless coordination of Board activities are key parts of this role.

Working closely with the CEO and Board Chair, the role is responsible for managing governance administration and maintaining systems and processes that enable the Board to fulfil its statutory and strategic responsibilities.
