Nebius is seeking a Senior Corporate Paralegal to join the Corporate & Governance legal team and manage the day-to-day governance of Nebius Group’s international structure. You will oversee subsidiary management across jurisdictions, support incorporation in new countries, and maintain accurate governance calendars and records.

Qualificações

• Relevant legal, paralegal or company-secretarial qualification with corporate governance focus.
• At least 7 years of experience in corporate law or governance.
• Hands-on experience managing legal entities across jurisdictions.
• Experience with corporate approvals, maintaining records and compliance calendars.

Responsabilidades

• Manage corporate governance and maintenance of Nebius's subsidiaries across multiple jurisdictions.
• Coordinate incorporation of entities in new countries with internal teams and local counsel.
• Prepare and coordinate corporate decisions, powers of attorney, director/officer appointments and other documents.
• Maintain accurate corporate records, organizational charts, entity details and governance calendars.
• Support restructurings, financings, acquisitions and other corporate projects, including due diligence and closing processes.
• Respond to information requests from internal teams, banks, auditors, regulators and others.
• Lead entry workstreams for new jurisdictions, instruct external counsel, and translate advice into implementation steps.
• Build scalable entity-management infrastructure with templates, playbooks and workflows.
