Job summary

Nebius is seeking a Senior Corporate Paralegal to join the Corporate & Governance team and manage day-to-day governance of our international group structure. You will support subsidiaries from incorporation to restructurings, coordinating with internal teams and external advisers.

You will lead entity-management initiatives, maintain records, and enable Nebius’s rapid expansion while ensuring compliance and scalable processes across multiple jurisdictions.

Qualifications

• Qualified in law with corporate governance specialization.
• 7+ years in corporate law or governance, in-house or law firm.
• Experience managing entities across jurisdictions.
• Experience with corporate approvals and maintaining corporate records.
• Familiar with entity-management platforms, e-signature tools and document-management systems.
• Strong written and spoken English; Dutch is a plus.
• Detail-oriented with proactive, ownership-driven approach.
• Ability to work independently and collaborate with internal stakeholders.
• Adaptable in a fast-growing, cross-border business.

Responsibilities

• Manage governance and maintenance of Nebius’s subsidiaries across jurisdictions.
• Coordinate incorporation of entities in new countries with internal teams and external counsel.
• Prepare corporate decisions, powers of attorney, director appointments, and amendments.
• Maintain corporate records, organizational charts and governance calendars.
• Support restructurings, financings, acquisitions and due diligence.
• Respond to information and document requests from banks, regulators and auditors.
• Lead workstreams for new jurisdictions and manage external counsel while translating advice.
• Build scalable entity-management templates, playbooks and workflows.
• Support Company Secretary on governance matters for Nebius Group N.V. and subsidiaries.
