Job summary

Essential Duties and Responsibilities:

• Coordinate and schedule board and shareholders meetings, ensuring all necessary materials are prepared and distributed in advance, interacting with all relevant stakeholders.
• Maintain and update corporate records, ensuring accuracy and compliance with legal requirements.
• Research and analyze Dutch corporate law, NASDAQ listing rules, and other regulatory requirements to ensure the company's compliance.
• Follow up with board members, stakeholders, and relevant parties to ensure timely completion of required tasks.
• Assist the Corporate Secretary in the preparation, review, and organization of corporate documents, including board resolutions, meeting minutes, shareholders’ meetings materials and minutes, managing Corporate Secretary calendar and reviewing and keeping up-to-date governance-related documents.
• Support the legal team with regulatory filings, company registrations, and other compliance-related paperwork, including Dutch Chamber of Commerce.
• Managing a portfolio of Group’s companies across different jurisdictions, including with involvement of external counsel, where necessary.
• Ensure adherence to Dutch corporate laws and regulations, staying updated on any changes affecting governance and compliance.
• Handle administrative and secretarial duties, including document management, correspondence, and filing.
• Collaborate with external advisors, including legal and auditors.
• Assist in drafting and reviewing standard legal documents under supervision.

Qualifications:

• Bachelor’s or Master’s degree in Law, preferably in corporate law or related field.
• 5+ years of experience in a corporate secretary, corporate lawyer, or similar role within a law firm representing Dutch listed companies, preferably in the Unites States, or in a legal department of a listed company.
• Strong knowledge of Dutch corporate governance and regulatory requirements, experience with reporting obligations of a public company is a plus.
• Excellent organizational and detail-oriented skills, with the ability to manage repetitive tasks efficiently.
• Strong follow-up and coordination skills when dealing with board members and stakeholders.
• Proficiency in Microsoft Office Suite and document management systems.
• Fluent in English; Dutch proficiency is a plus.
