Job summary

The International Baccalaureate in The Hague is seeking a Commercial Contracts Manager to lead end-to-end negotiations for digital software partners. You will draft MSAs, SLAs and NDAs, manage pricing discussions, and translate technical needs into enforceable commercial terms across complex vendor relationships.

You will collaborate with Legal, Delivery and Information Security to embed risk controls, ensure IP protection, and monitor contract performance.

Qualifications

• 10+ years in commercial negotiations and contract lifecycles.
• Understanding of digital software vendors, SaaS and edtech solutions.
• Experience negotiating pricing, IP rights, SLAs and termination terms.
• Translate technical requirements into commercial terms.
• Knowledge of enterprise software delivery and release cycles.
• Proven ability to identify and mitigate commercial risk with suppliers.
• Excellent stakeholder management, communication and influencing skills.

Responsibilities

• Lead end-to-end commercial negotiations with digital vendors.
• Draft, review and finalise commercial contracts, MSAs, SLAs and NDAs.
• Identify and mitigate commercial risks while leading pricing discussions.
• Translate milestones into enforceable contractual deliverables and payments.
• Define acceptance criteria and release gates for vendor deliverables.
• Implement milestone-based sign-off and payment mechanisms.
• Secure IP protections and exit provisions.
• Partner with Legal, Delivery and InfoSec to embed risk and compliance.
• Maintain visibility of contract risks and support governance with insights.
