Autodesk is seeking an experienced Subsidiary Governance & Corporate Paralegal to support governance and compliance of APAC legal entities. You will work with attorneys, Finance, Tax, Treasury, HR, and external secretarial providers to ensure timely, compliant entity management across multiple jurisdictions.

The role emphasizes proactive governance, process improvements, and collaboration across time zones. A proactive, organized professional with strong English communication is ideal.

Formación

• Diploma or Bachelor's degree in Law, Business, Corporate Administration, or a related field.
• Three or more years of experience supporting corporate governance, corporate secretarial, or general corporate legal matters.
• Ability to work effectively as a team player across regions and with business stakeholders in multiple jurisdictions.
• Excellent organizational and project management skills with the ability to manage multiple priorities and deadlines.
• Excellent written and verbal communication skills in English and proactive learning approach.
• High attention to detail with sound professional judgment on confidential information.
• Interpersonal skills and strong professionalism.
• Foundational understanding of listing requirements for a U.S.-listed company across regions.

Responsabilidades

• Manage corporate records for APAC subsidiaries, including statutory registers, minute books, governance documents, and entity records.
• Coordinate board and shareholder approvals, written resolutions, annual general meetings, and other governance activities under local laws.
• Support director and officer appointments, resignations, powers of attorney, and related filings.
• Coordinate annual compliance filings and regulatory submissions across APAC jurisdictions with external corporate secretarial providers.
• Maintain governance calendars and monitor recurring compliance obligations.
• Support legal aspects of subsidiary formations, liquidations, restructurings, mergers, and reorganizations.
• Maintain legal entity information in entity management systems and repositories.
• Coordinate execution, maintenance, and organization of intercompany agreements and related documentation.
• Collaborate with Legal, Finance, Tax, Treasury, HR, Payroll, Equity, and other teams to facilitate governance activities.
• Identify opportunities to improve and standardize subsidiary governance processes across APAC.
• Develop templates, playbooks, checklists, and tracking tools for efficiency.
