Job summary

Autodesk is seeking an experienced Subsidiary Governance & Corporate Paralegal to support governance and compliance of our legal entities across the APAC region. You will work with attorneys, Finance, Tax, Treasury, HR, and external corporate secretarial providers to keep entities compliant and support strategic corporate initiatives.

Qualifications

• This role requires three or more years of experience supporting corporate governance or corporate secretarial matters.
• Excellent written and verbal English communication and strong organizational skills.
• Ability to work across regions and with multiple jurisdictions.

Responsibilities

• Manage corporate records for APAC subsidiaries, including registers and governance documents.
• Coordinate board/shareholder approvals, resolutions, and AGM proceedings under local law.
• Support director/officer appointments, resignations, powers of attorney, and filings.
• Coordinate annual compliance filings across APAC with external secretarial providers.
• Maintain governance calendars and monitor recurring compliance obligations.
• Support formations, liquidations, restructurings, mergers, and reorganizations.
• Organize intercompany agreements and related documentation; maintain entity data in systems.
