Job summary

Autodesk, Inc. is seeking an experienced Subsidiary Governance & Corporate Paralegal to support governance and compliance of our legal entities across the APAC region.

You will manage subsidiary governance, maintain records, and coordinate board and shareholder activities with internal teams and external secretarial providers. The role requires strong organization, attention to detail, and English proficiency, with experience across multiple jurisdictions.

Qualifications

• Diploma or Bachelor’s degree in Law, Business, Corporate Administration, or a related field.
• Three or more years of experience supporting corporate governance, corporate secretarial, or general corporate legal matters.
• Ability to work effectively across regions and with stakeholders in multiple jurisdictions.

Responsibilities

• Manage corporate records for APAC subsidiaries, including statutory registers and governance documentation.
• Coordinate board/shareholder approvals, written resolutions, and AGMs.
• Support director/officer appointments, resignations, powers of attorney, and related filings.
• Coordinate annual compliance filings across APAC jurisdictions with external_secretarial providers.
• Maintain governance calendars and monitor recurring compliance obligations.
• Support corporate transactions and entity management (formations, restructurings, mergers).
• Maintain entity information in entity management systems and repositories.
• Coordinate intercompany agreements and related documentation across functions.
• Develop templates, playbooks, checklists, and tracking tools to improve processes.
• Contribute to continuous improvement initiatives to scale governance functions across APAC.
