Project Associate, Corporate Finance (Equity & Capital Markets)
TERAJU is seeking a Project Associate, Corporate Finance (Equity & Capital Markets) on a Contract for Service (CFS) basis to provide professional and technical services in support of TERAJU’s corporate finance, equity and capital market initiatives.
The engagement will primarily focus on transaction origination, evaluation and execution, financial analysis and modelling, transaction documentation, stakeholder coordination, and governance and compliance support.
SCOPE OF SERVICES
- Manage origination, evaluation, execution of equity and capital market transactions for TERAJU’s corporate finance and capital market initiatives, including but limited to IPOs, private placements, rights issues, sukuk/bond issuances, private equity, venture capital and related capital-raising exercises.
- Assist in transaction structuring, due diligence processes, and preparation of execution timelines and work plans.
- Prepare and maintain transaction trackers, issue logs, and deliverables schedules.
- Develop and maintain financial models, valuation analyses, and scenario/sensitivity assessments.
- Conduct market research, peer benchmarking, and industry analysis to support transaction proposals.
- Support pricing analysis and capital structure evaluations.
- Draft and support preparation of transaction documents, including information memoranda, prospectuses, management papers, and investor presentations.
- Compile, review, and coordinate inputs from internal teams and external advisors for transaction documentation.
- Ensure accuracy, consistency, and completeness of financial and analytical content.
Stakeholder & Advisor Coordination
- Coordinate with internal stakeholders (finance, legal, strategy, compliance) to support transaction requirements.
- Liaise with external advisors such as investment banks, legal counsel, auditors, and regulators on information requests and documentation matters.
- Participate in meetings and discussions as delegated by the Associate Director.
- Ensure transaction processes and documentation comply with applicable regulatory requirements and internal policies.
- Identify execution issues and risks, escalating key matters to the Associate Director in a timely manner.
- Maintain proper documentation, approvals, and audit trails for transactions.
KEY DELIVERABLES
- Provide guidance and support to Assistant Project Associates and analysts assigned to transactions
- Perform other duties as required to support the Associate Director and the corporate finance function.
- Company screening and preliminary assessment reports;
- IPO and capital market readiness assessments;
- Financial models and financial performance analyses;
- Valuation and benchmarking analyses;Transaction evaluation and recommendation papers;
- Due diligence review summaries and issue logs;
- Transaction execution plans and timelines;
- Transaction trackers and status reports;
- Capital structure and funding assessments;
- Management and approval papers;
- Investor or stakeholder presentation materials; and/or
- Other corporate finance and capital market-related analyses or deliverables as required by TERAJU.
REQUIREMENTS
The service provider should possess the following qualifications, experience and capabilities:
Qualifications
- Bachelor degree in Finance, Accounting, Economics, Business, or a related discipline.
- Professional qualifications or progress toward CFA, CPA, ACCA, or equivalent are an advantage.
Experience
- Minimum 4-6 years of experience in corporate finance, investment banking, transaction advisory, or capital markets.
- Exposure to equity and/or debt capital market transactions is preferred.
- Strong financial modelling, valuation, and analytical skills.
- Good understanding of equity and capital market instruments and transaction processes.
- Strong coordination, documentation, and project management skills.
- High attention to detail and ability to work under tight timelines.
- Professional communication skills and ability to work with multiple stakeholders.

The appointed service provider is expected to:
- Complete agreed deliverables within the timelines specified for each assignment;
- Maintain appropriate professional standards in all analyses, documentation and stakeholder engagements;
- Provide timely progress updates on assigned deliverables and transaction matters;
- Promptly highlight any material issues, delays, dependencies or risks that may affect the delivery of the agreed services;
- Maintain the confidentiality of information obtained or accessed in connection with the engagement;
- Ensure that deliverables submitted are complete, accurate and supported by appropriate analysis and documentation;
- Provide such other related professional services falling within the agreed scope of engagement as may be mutually agreed with TERAJU.
