- Lead and oversee the company's corporate governance framework and governance practices.
- Coordinate Board, Board Committee, and shareholder meetings.
- Provide governance advice and recommendations to the Chief Executive Officer and Board of Directors.
- Ensure board papers, resolutions, and corporate records are properly maintained.
- Monitor developments in corporate governance and recommend improvements to governance policies and practices.
b. Legal Affairs & Regulatory Compliance
- Oversee all legal and regulatory matters affecting the Company.
- Review, negotiate, and advise on contracts, agreements, memoranda of understanding, and other legal documents.
- Manage external legal counsel and specialist advisors when required.
- Ensure compliance with applicable laws, regulations, licenses, and regulatory requirements.
- Monitor legal and regulatory developments that may impact the company's operations and projects.
- Provide legal and commercial advice to management on strategic initiatives and project matters.
- Establish and maintain compliance frameworks, policies, and internal controls.
- Identify, assess, and mitigate legal, regulatory, governance, and reputational risks.
- Monitor compliance with corporate policies and procedures.
- Coordinate internal and external audits relating to governance, compliance, and corporate matters.
- Recommend corrective actions to address identified compliance gaps and risks.
d. Contract Management & Commercial Support
- Provide legal and commercial oversight for significant contracts and commercial arrangements.
- Advise project teams on contractual compliance and dispute mitigation.
- Assist in resolving contractual disputes and commercial issues.
- Ensure contractual arrangements adequately protect the company's interests.
e. Policy Development & Corporate Administration
- Develop, review, and update corporate policies, governance frameworks, and operating procedures.
- Ensure policies remain aligned with regulatory requirements and industry best practices.
- Oversee corporate administration and support services.
- Ensure proper management of official records, corporate documentation, and statutory filings.
- Lead continuous improvement initiatives within the Corporate Affairs function.
f. Stakeholder & Government Relations
- Develop and implement stakeholder engagement strategies to support corporate and project objectives.
- Build and maintain effective relationships with government agencies, regulators, shareholders, local authorities, and strategic partners.
- Serve as the primary liaison between the company and external stakeholders on corporate matters.
- Facilitate approvals, permits, regulatory submissions, and stakeholder consultations as required.
- Support Management in managing stakeholder issues, concerns, and expectations.
