CUCKOO International (MAL) Berhad in Kuala Lumpur seeks an Executive, Legal to support a broad range of legal, contractual, IP, dispute resolution and corporate compliance matters. You will provide timely, practical advice to business units, manage documentation and coordinate with external counsel.
Responsibilities include drafting and negotiating agreements, managing IP portfolios, overseeing governance and regulatory filings, and supporting litigation and regulatory engagements.
The Executive, Legal will support the Company in managing a broad range of legal, contractual, intellectual property, dispute resolution, and corporate compliance matters. The role will provide timely and practical legal advice to business units, manage legal documentation and contractual arrangements, coordinate with external legal counsel and relevant professional advisers, and support the Company in mitigating legal and regulatory risks.
Key Responsibilities
Contractual & Legal Advisory
Draft, review, negotiate and advise on a wide range of commercial and corporate agreements, including service agreements, tenancy agreements, non-disclosure agreements (NDAs), supplier/vendor contracts, business associate agreements and customer-related agreements.
Review and prepare formal legal correspondence, letters of demand, notices, undertakings and other legal documentation.
Provide practical and commercially sound legal advice to business units on contractual, operational and regulatory matters.
Conduct legal research and analysis on relevant laws, regulations and legal developments, and provide recommendations and solutions to address business and legal risks.
Identify potential legal risks arising from business activities and recommend appropriate risk mitigation measures.
Manage and monitor the Company's contentious and non-contentious disputes, including litigation, arbitration, claims and other dispute resolution matters.
Draft and review legal documents relating to disputes, including letters of demand, statements of defence, settlement agreements and other relevant pleadings or correspondence.
Coordinate with and manage external legal counsel in relation to ongoing litigation and dispute matters.
Monitor litigation timelines, court deadlines, case developments and other critical milestones to ensure timely action and compliance.
Assist in settlement negotiations and provide legal and commercial input on dispute resolution strategies.
Support matters involving the Consumer Tribunal and engagements with relevant government authorities, where required.
Manage the Company's intellectual property portfolio, including trademarks and other relevant intellectual property rights.
Conduct and coordinate trademark searches, applications, registrations, renewals, prosecution and responses to office actions.
Liaise with external intellectual property agents and legal counsel on IP-related matters.
Maintain accurate and up-to-date records of the Company's intellectual property assets, filings, registrations and renewal deadlines.
Support the development and implementation of appropriate brand and intellectual property protection strategies.
Corporate Governance & Compliance
Assist in corporate secretarial and compliance matters, including the preparation of board resolutions, directors' circular resolutions, annual returns and statutory filings.
Coordinate with the Company's company secretary, regulatory authorities and other relevant stakeholders on corporate and statutory matters.
Monitor applicable legal and regulatory requirements and assist in ensuring the Company's compliance with relevant laws, regulations and internal policies.
Maintain proper records and documentation relating to corporate and legal matters.
External Counsel & Stakeholder Management
Liaise and collaborate effectively with external legal counsel, company secretaries, IP agents, government authorities and other professional advisers.
Monitor external legal counsel's progress, deliverables, timelines and costs in relation to assigned matters.
Build and maintain effective working relationships with internal stakeholders and provide timely legal support to business units.
General Legal Support
Provide legal support and advice on ad hoc matters and projects as assigned by the Head of Division and/or Head of Department.
Collaborate with relevant business units and stakeholders to understand business requirements and provide practical legal solutions.
Maintain confidentiality and exercise sound professional judgment when handling sensitive legal and business matters.
Undertake any other duties and responsibilities as may be reasonably assigned from time to time.
Qualifications & Exeperience
Degree in Law or equivalent; admitted as an Advocate & Solicitor in Malaysia or qualified to practise as a Barrister in the UK.
Minimum 2 years' PQE in-house and/or reputable law firm experience.
Experience in commercial contracts, legal advisory, dispute resolution/litigation and intellectual property matters.
Knowledge of corporate governance, statutory compliance and regulatory requirements.
Strong legal drafting, research, analytical and problem-solving skills with sound commercial acumen.
Good communication, stakeholder management and negotiation skills, with the ability to work effectively with internal and external parties.
Strong organisational skills and attention to detail, with the ability to manage multiple matters and deadlines.
Experience in a public-listed company, MNC or regulated industry is an added advantage.
