Roths Investment Bank P.L.C. in Malaysia seeks a corporate secretarial professional to support Labuan and Malaysian entities’ statutory compliance. The role requires meticulous attention to detail and the ability to operate independently under regulatory deadlines.
You will assist in incorporation, maintenance, board coordination, and timely statutory filings, while maintaining governance standards and records in MS Office and filing portals.
This role supports the full spectrum of corporate secretarial functions and statutory compliance across Malaysian (Sdn Bhd) entities and Labuan offshore companies. The ideal candidate possesses strong attention to detail, a thorough understanding of Malaysian corporate secretarial practices, and the ability to operate independently under tight regulatory deadlines.
Key responsibilities
Assist in the incorporation, structural maintenance, and ongoing administration of Labuan and Malaysian companies in compliance with applicable statutory framework
Draft and prepare statutory corporate secretarial documents, including board resolutions, shareholders' resolutions, meeting minutes, and statutory registers
Maintain and update statutory registers, company records, beneficial ownership (BO) tracking details, and physical/digital filing systems in an orderly manner
Assist in executing corporate changes, including appointments/resignations of directors, share allotments, transfers, and related corporate filings
Coordinate board and shareholders' meetings, preparing meeting agendas, notices, meeting packs, and taking draft minutes
Ensure complete and timely submissions of statutory returns to SSM, LFSA, and relevant regulatory bodies
Support the maintenance of robust corporate governance standards and statutory compliance controls
Provide operational administrative support and perform other ad-hoc corporate secretarial duties assigned by the Company Secretary
About you
Possess or currently pursuing an Institute of Chartered Secretaries and Administrators (ICSA / MAICSA) qualification or equivalent finalist status
Sound knowledge of the Malaysian Companies Act 2016 and related statutory and regulatory requirements
Minimum 2-3 years of hands-on experience in corporate secretarial work
Excellent command of written and spoken English and Bahasa Malaysia
High level of integrity, strong attention to detail, proactive attitude, and the ability to multitask independently with minimal supervision
Computer literate with proficiency in MS Office / Google Workspace and corporate filing portals
Familiarity with the Labuan regulatory framework (LFSA requirements, Labuan Companies Act, and offshore compliance obligations) is highly advantageous
