Klar seeks a Legal Associate to join its Mexico City office on a hybrid basis. The role focuses on managing corporate control across entities, drafting essential documents, and coordinating governance matters in a regulated financial environment.

Ideal candidates have 2+ years in corporate governance, strong English, and a proactive mindset, with experience in regulated entities and litigation support.

Formación

• Bachelor’s degree in Law and 2+ years in corporate governance.
• Experience in law firm, notary, or in-house roles with regulated entities is a plus.
• Advanced English and strong drafting, written and verbal communication.
• Highly organized, detail-oriented, and responsible.
• Experience preparing corporate minutes and managing corporate books.
• Experience filing legal documents before courts or regulatory authorities.
• Experience managing or tracking litigation matters.
• Interest in using AI tools to improve efficiency.

Responsabilidades

• Manage corporate control of the group’s entities (books, powers of attorney, notices, minutes, corporate structure, etc.).
• Prepare, coordinate, and follow up on shareholders’ meetings, Board of Directors meetings, unanimous resolutions, and committee minutes.
• Manage the corporate and regulatory calendar (shareholders’ meetings, board sessions, committees, recurring obligations).
• Draft and review corporate documentation (notices, minutes, resolutions, powers of attorney, certifications).
• Manage and monitor litigation matters, including status tracking, deadlines, and coordination with external law firms.
• Support compliance with CNBV, BANXICO, and CONDUSEF.
• Coordinate with notaries, external counsel, and internal teams.
• Support in-person legal and regulatory procedures, filings, and court interactions.

The position and your daily adventures

This is a full-time position based in our Mexico City office with a hybrid model.

We are looking for a Legal Associate with strong experience in corporate governance and corporate control to join the legal team at Klar. You will be responsible for managing the corporate control of the group’s entities, ensuring compliance with corporate and regulatory obligations, as well as overseeing and tracking the litigation matters involving the company.

This is a role with high exposure and learning opportunities within a regulated financial environment, ideal for someone looking to specialize and grow as an expert in corporate, financial, and regulatory law at Klar

What you’ll do:

• Manage the corporate control of the group’s entities (corporate books, powers of attorney, notices, minutes, corporate structure, etc.).
• Prepare, coordinate, and follow up on:
  • Shareholders’ meetings
  • Board of Directors meetings
  • Unanimous resolutions adopted outside of meetings
  • Committee and internal governance body minutes
• Manage the corporate and regulatory calendar (shareholders’ meetings, board sessions, committees, recurring obligations, etc.).
• Draft and review corporate documentation (notices, minutes, resolutions, powers of attorney, certifications, etc.).
• Manage and monitor litigation matters, including:
  • Status tracking of each case (filed and received claims/lawsuits)
  • Deadlines and procedural calendars
  • Coordination with external law firms
• Support compliance with regulatory obligations before authorities such as the National Banking and Securities Commission (CNBV), Bank of Mexico (BANXICO), and National Commission for the Protection and Defense of Users of Financial Services (CONDUSEF).
• Coordinate with notaries, external counsel, and internal teams.
• Support in-person legal and regulatory procedures, including filings, court follow-ups, and interactions with authorities.

You and your assets

• Bachelor’s degree in Law.
• 2+ years of experience in:
  • Corporate governance / corporate law
  • Law firm, notary office, or in-house legal roles (experience with regulated entities is a plus)
• Advanced English level
• Strong legal drafting skills and clear communication abilities (written and verbal).
• Highly organized, detail-oriented, and responsible.
• Interest and comfort in using AI tools to improve efficiency, organization, and day-to-day legal work.
• Experience working with regulated financial entities.
• Experience preparing corporate minutes and managing corporate books.
• Experience filing legal documents before courts or regulatory authorities.
• Experience managing or tracking litigation matters.
