Job summary

Incode is seeking a Corporate Governance Analyst to manage global corporate records, equity administration, and legal operations. You will maintain minute books, registrations, and consents across more than 20 entities, coordinating with outside counsel and FP&A as needed.

You’ll grow scope by building automated processes with AI tools, ensuring accuracy, timeliness, and compliance while partnering with Legal and Finance teams in a fast-scaling environment.

Qualifications

• 3+ years of experience in corporate governance, paralegal, corporate secretary, legal ops, or equity administration.
• Working knowledge of multi-jurisdictional entity management, including Delaware filings and international subsidiary structures.
• Professional-level English, written and spoken.
• Strong attention to detail and a proven track record of deadline ownership.
• Carta, DocuSign, or Brightflag experience is a strong plus.
• Prior experience at a US-headquartered company with international subsidiaries is an advantage.
• Exposure to credit agreements, lender reporting, or covenant tracking is a bonus.

Responsibilities

• Corporate Governance - Maintain the minute book and corporate records across all entities: directors, officers, signatories, and powers of attorney.
• Equity Administration - Own Carta end-to-end: grant approvals and corrections, certificate approvals, and cap table reconciliation.
• Debt & Lender Compliance - Maintain covenant and reporting calendar for credit agreements and notices.
• Legal Ops Support - Handle administrative requests, due diligence, and supplier/insurer data collection.
• Contract Administration - Own central contract repository for customer and vendor agreements.
• Process Automation - Build and document repeatable processes using AI and workflow automation.
