Domyn is seeking an ambitious Legal Counsel in Milan to be the key reference for corporate governance. You will advise senior leadership and the board on governance structures, compliance, and entity management, while also supporting the business on broader legal matters.

You will lead on complex governance topics with autonomy, partnering with leadership, finance and compliance stakeholders. The ideal candidate has 7+ years of governance experience and strong communication skills in English and

Competenze

• Law degree from an accredited law school.
• Bar admission in Italy is required.
• Minimum 7 years of relevant experience in law firm or in-house governance roles.
• Excellent knowledge of Italian corporate law and governance; cross-border exposure a plus.

Mansioni

• Advise on governance implications of corporate transactions, including financing rounds and M&A.
• Monitor evolving corporate law and governance requirements and update policies accordingly.
• Manage board and shareholder meetings, minutes, and approvals.
• Support corporate compliance and risk management efforts.
• Oversee entity management and housekeeping across group entities.
• Draft, review, and negotiate a variety of commercial and corporate contracts.
• Provide strategic legal advice across departments.
• Develop and improve internal legal procedures.
