Jobgether seeks a Senior Corporate Counsel based in Italy to shape corporate strategy and lead complex securities, governance, and M&A matters for a globally distributed technology business. You will oversee international subsidiaries, employee equity programs, and financing transactions while developing scalable processes to support expansion.

The role requires a JD, US bar admission, 5+ years of practice, and strong international transactions experience.

Qualifications

• JD from US-accredited law school
• Admission to a US state bar
• 5+ years legal practice experience
• Strong securities law & governance expertise
• Experience with international subsidiaries & complex corporate transactions
• Knowledge of IP, software licensing, open-source licensing

Responsibilities

• Lead global securities law compliance and governance for a late-stage private company.
• Manage international subsidiary structure, board meetings, records, and reorganizations.
• Support board governance with agendas, materials, and documentation of decisions.
• Oversee employee equity programs and stock transactions.
• Oversee fundraising, M&A, financing, and other strategic transactions with risk management.
• Manage venture investments and related activities.
• Develop scalable legal/business processes for international operations.
