A law degree with bar is required, with 5+ years at a top firm and fluency in English. You will draft, negotiate, and manage a broad spectrum of contracts including IT, SaaS, licensing, and franchise agreements,

• Draft, review and negotiate sales, agency and distribution contracts.
• Draft, review and negotiate franchise, licensing, service, purchase, IT/SaaS, and outsourcing agreements.
• Advise on contract liabilities and manage related litigation.

• Coordinate national and international transactions across jurisdictions.

We are looking for an experienced Legal Counsel Commercial Contracts to join our Legal Department. This role offers the opportunity to work at the heart of a fast-paced, international retail business, supporting a wide range of commercial operations.

About the role

You will act as a trusted business partner, providing clear, practical, and timely legal support while balancing legal risk and business objectives. You will be expected to handle and coordinate national and international transactions as well as cross-border legal matters, working effectively across different jurisdictions and with internal and external stakeholders. This position requires a combination of strong technical expertise, commercial awareness, excellent interpersonal skills, and a proactive, solution-oriented mindset.

Key Responsibilities

Contract Management

Draft, review, and negotiate a broad spectrum of commercial contracts, including:

• Sales, agency and distribution agreements
• Franchise and licensing agreements
• Service agreements
• Purchase and supply agreements
• IT, software licensing, SaaS, and digital service agreements
• Outsourcing, facility management, and utilities contracts

Support management in strategic decisions relating to partnerships, procurement, and retail operations.

Advise on contract liabilities and manage related litigation matters

Provide clear, business-oriented advice to internal stakeholders.

Cross-Functional Support

Partner closely with departments including Sales, Procurement and Finance.

• Contribute proactively to business discussions, understanding commercial drivers and aligning legal advice accordingly

Qualifications & Experience

Law degree with excellent academic credentials and bar qualification is essential.

At least 5 years of post-qualification legal experience at a top tier law firm, with extensive exposure to corporate matters, commercial agreements is a must.

Additional knowledges of company law and extraordinary corporate operations is a plus.

Fluency in English (both written and spoken) is essential.

Strong analytical and problem-solving skills, with attention to detail.

Proven track record of drafting and negotiating complex contracts.

Ability to balance legal risk with commercial opportunity, applying a pragmatic approach.

High level of integrity, professional judgment, and resilience.

Excellent communication and interpersonal skills, with the ability to build trust at all levels of the organization.

• Capacity to handle multiple projects simultaneously in a fast-paced environment.
