The Corporate Institute in Mumbai is seeking a seasoned corporate finance professional to manage and grow relationships with corporate clients, overseeing project finance, corporate finance, acquisition finance, refinancing, NCD, and working capital transactions.

You will build and review robust financial models, conduct credit analyses, evaluate opportunities, and lead negotiations with clients, lenders, and legal advisors, ensuring RBI/ECB compliant structures.

Qualifications

  • MBA/PGDM in Finance/Marketing with 8 – 12 years of relevant experience in Investment Banking, Project Finance, Corporate Finance, Structured Finance, or Corporate Banking.
  • Strong experience in debt structuring and transaction execution.
  • Proven track record of handling large-value transactions and corporate relationships.
  • Strong understanding of financial statements, credit analysis, project economics, and valuation methodologies.
  • Advanced proficiency in MS Excel and financial modeling.
  • Strong knowledge of DCF, scenario/sensitivity analysis, debt structuring, and cash-flow analysis.
  • Understanding of RBI regulations and applicable financing guidelines.
  • Excellent communication, negotiation, presentation, and stakeholder-management skills.
  • Ability to independently manage multiple transactions under tight timelines.

Responsibilities

  • Acquire and manage corporate/SME clients for lending business.
  • Originate and execute Project Finance, Corporate Finance, Acquisition Finance, Refinancing, NCD, and Working Capital transactions.
  • Evaluate new business opportunities and develop sector-specific investment and financing strategies.
  • Build and review detailed financial models, including DCF, scenario analysis, sensitivity analysis, cash-flow projections, and debt servicing models.
  • Conduct comprehensive credit and financial analysis of corporates, projects, sponsors, and counterparties.
  • Assess project feasibility through analysis of capex, operating assumptions, market demand, pricing, tariffs, offtake arrangements, and cash flows.
  • Structure appropriate debt solutions considering leverage, repayment capacity, security package, covenants, risk factors, and regulatory requirements.
  • Prepare detailed credit appraisal notes, investment memoranda, transaction proposals, and board-level presentations.
  • Lead negotiations with clients, sponsors, lenders, investors, legal advisors, and other transaction stakeholders.
  • Manage the complete transaction lifecycle from origination and mandate acquisition through sanction, documentation, financial closure, and disbursement.
  • Ensure transaction structures are compliant with applicable RBI regulations, ECB guidelines, banking policies, and internal credit frameworks.
  • Conduct industry, market, competitor, and peer benchmarking to support investment and lending decisions.
  • Identify cross-selling and relationship-expansion opportunities within existing corporate relationships.
  • Manage senior-level relationships with CFOs, promoters, CXOs, investment teams, and other key stakeholders.
  • Mentor junior team members and ensure timely delivery of transaction and business objectives.
  • Monitor portfolio performance, risk exposure, covenant compliance, and overall credit quality.
