Job summary

An NBFC is hiring a Legal Manager to support its lending and documentation function. The role covers reviewing facility agreements, co-lending, hypothecation deeds, guarantees, and related documents within BFSI.

Candidate should have 4-5 years post-qualification experience in banking, NBFC, financial services or a law firm handling BFSI matters, with strong knowledge of Indian contract and corporate laws and regulatory updates.

Qualifications

• Loan and security documentation across secured and unsecured facilities.
• Knowledge of supply chain finance products and related documentation.
• Familiarity with Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, IBC and SARFAESI.

Responsibilities

• Review and vet facility agreements, both secured and unsecured.
• Review co-lending agreements and service level agreements.
• Handle hypothecation deeds, guarantees, demand promissory notes and NDAs.
• Prepare corporate authorisations, resolutions and ancillary documents.
• Review constitutional documents and authorisations for lending transactions.
• Conduct legal research and track regulatory updates impacting NBFC operations.
• Liaise with external counsel, law firms and consultants for transaction and legal support.
• Maintain documentation systems and records.

Mandatory skills: loan and security documentation, supply chain finance products, Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, principles of hypothecation, IBC and SARFAESI.

Preferred: RBI Master Directions for NBFCs, co-lending guidelines, outsourcing guidelines and supply chain finance documentation exposure.

Candidate profile: 4-5 years post-qualification experience in banking, NBFC, financial services or a law firm handling BFSI sector matters.
