Job summary

Intellectual Capital HR Consulting Pvt. Ltd. is seeking a Legal Manager to support an NBFC's lending and documentation function in Gurugram.

You will review facility agreements, co-lending arrangements, hypothecation deeds and related documents, and prepare authorisations and resolutions. The role requires 4–5 years post-qualification experience in banking, NBFC, or a law firm handling BFSI matters.

Qualifications

• Loan and security documentation experience
• Supply chain finance product knowledge
• Knowledge of Companies Act, Indian Contract Act, Sale of Goods Act
• Knowledge of Transfer of Property Act, hypothecation principles, IBC and SARFAESI
• Regulatory guidance like RBI Master Directions for NBFCs preferred

Responsibilities

• Review facility agreements (secured and unsecured)
• Review co-lending and service level agreements
• Handle hypothecation deeds, guarantees, promissory notes and NDAs
• Prepare corporate authorisations, resolutions and related documents
• Review lending transaction documents and constitutional documents
• Track regulatory updates affecting NBFC operations
• Coordinate with external counsel and consultants for transactional support
• Maintain documentation systems and records

Job description

An NBFC is hiring a Legal Manager to support its lending and documentation function.

Key responsibilities:

• Review and vet facility agreements, both secured and unsecured
• Review co-lending agreements and service level agreements
• Handle hypothecation deeds, guarantees, demand promissory notes and NDAs
• Prepare corporate authorisations, resolutions and ancillary documents
• Review constitutional documents and authorisations for lending transactions
• Conduct legal research and track regulatory updates impacting NBFC operations
• Liaise with external counsel, law firms and consultants for transaction and legal support
• Maintain documentation systems and records

Mandatory skills: loan and security documentation, supply chain finance products, Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, principles of hypothecation, IBC and SARFAESI.

Preferred: RBI Master Directions for NBFCs, co-lending guidelines, outsourcing guidelines and supply chain finance documentation exposure.

Candidate profile: 4-5 years post-qualification experience in banking, NBFC, financial services or a law firm handling BFSI sector matters.
