Job summary

Intellectual Capital HR Consulting Pvt. Ltd. is seeking a Legal Manager to support lending and documentation for an NBFC.

The role involves reviewing loan agreements, security documents, and related enforceability issues, while ensuring compliance with applicable Indian laws. You will liaise with external counsel and maintain robust documentation systems, with 4-5 years of post-qualification experience in BFSI or a law firm focused on banking sector matters.

Qualifications

• Mandatory: post-qualification BFSI/Banking experience, 4-5 years.
• Exposure to RBI Master Directions for NBFCs and co-lending guidelines is preferred.
• Experience handling loan documentation, security documents and relevant acts is required.

Responsibilities

• Review and vet facility agreements, secured and unsecured.

• Handle hypothecation deeds, guarantees, demand promissory notes and NDAs.
• Prepare corporate authorisations, resolutions and ancillary documents.

Job description

An NBFC is hiring a Legal Manager to support its lending and documentation function.

Key responsibilities:

• Review and vet facility agreements, both secured and unsecured
• Review co-lending agreements and service level agreements
• Handle hypothecation deeds, guarantees, demand promissory notes and NDAs
• Prepare corporate authorisations, resolutions and ancillary documents
• Review constitutional documents and authorisations for lending transactions
• Conduct legal research and track regulatory updates impacting NBFC operations
• Liaise with external counsel, law firms and consultants for transaction and legal support
• Maintain documentation systems and records

Mandatory skills: loan and security documentation, supply chain finance products, Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, principles of hypothecation, IBC and SARFAESI.

Preferred: RBI Master Directions for NBFCs, co-lending guidelines, outsourcing guidelines and supply chain finance documentation exposure.

Candidate profile: 4-5 years post-qualification experience in banking, NBFC, financial services or a law firm handling BFSI sector matters.
