Job summary

MKU in Kanpur seeks a corporate lawyer to provide comprehensive legal support, ensure regulatory compliance, and protect the company’s contractual interests while enabling smooth business operations.

You will draft, vet, and review NDAs, sale-purchase, JV, ToT, and MOUs, and prepare end-user certificates, powers of attorney, undertakings, affidavits, and legal notices. Maintain an Agreement Register and contribute to CLM implementation.

Qualifications

• Minimum LLB with 7-8 years post-qualification experience in corporate law or litigation.
• Experience drafting and negotiating commercial contracts and handling arbitration preferred.
• Strong knowledge of Indian Contract Act and related regulations.
• English medium academic background.

Responsibilities

• Drafting, vetting and reviewing agreements such as NDA, Sale-purchase, JV, ToT, MoU, etc.
• Prepare end user certificates, power of attorney, undertakings, affidavits, and legal notices.
• Vetting various agreements (NDA, MOU, JV, sale-purchase) and maintaining an Agreement Register.
• Maintain a CLM tool and contribute to its implementation and organization.
• Coordinate litigation matters and safeguard organizational legal interests.

Job Objective

To provide comprehensive legal support to the organization by ensuring compliance with applicable laws and regulations, drafting and vetting various agreements, coordinating litigation matters, and safeguarding the companys legal and contractual interests while facilitating smooth business operations.

Key Responsibility Areas

Execution

1. Drafting/vetting/reviewing of various agreements such as:
   • Non-Disclosure Agreement (NDA)
   • Sale purchase agreement
   • Joint Venture Agreement (JV)
   • Technology Transfer Agreement (ToT)
   • Memorandum of Understanding (MoU ) etc.
2. Preparation of:
   • End user certificates
   • power of attorney
   • undertaking
   • affidavits
   • legal notice etc.
3. Vetting of various types of agreements such as Non-Disclosure agreement, MOU, JV, sale-purchase contract etc.
4. Such other matters as may be assigned;
5. Maintenance of Agreement Register.
6. CLM tool implementation and organization

Min. qualification required

• LLB having minimum 7-8 years of post-qualification experience, whether under any industry or in Court as Advocate.
