Job summary

The candidate will lead or support financial modeling, due diligence, valuation, and structuring activities, while maintaining relationships with investment banks and private equity firms to generate deal flow.

Qualifications

• CA/MBA with strong deal-making credentials.
• 6–7 years’ experience in distressed asset M&A.

Responsibilities

Job Description:

He would play a critical role in identifying (specifically distressed assets/NCLT transactions), evaluating, and executing mergers, acquisitions, and other strategic transactions. This role involves a combination of market analysis, deal sourcing and filtering, financial modeling, and cross-functional collaboration with internal teams & external advisors to ensure successful transaction outcomes.

Deal Origination

• Identify Opportunities: Proactively research and identify potential M&A targets, including competitor analysis, market research, and identification of strategic fit for the company's growth objectives.
• Develop and Maintain Relationships: Build and maintain relationships with investment banks, private equity firms, corporate development teams, and other deal sources to generate new deal flow.
• Market Intelligence: Track industry trends, competitive dynamics, and market conditions to identify potential acquisition opportunities or partnerships.
• Strategic Analysis: Work with senior management to define and refine strategic acquisition criteria and to understand company growth objectives in order to source high-potential deals.

Deal Execution

• Financial Analysis & Modeling: Lead or support the development of detailed financial models (e.g., discounted cash flow, comparable company analysis, precedent transactions) to assess the financial impact of potential deals.
• Due Diligence: Coordinate and oversee due diligence processes, including financial, legal, operational, and commercial due diligence. Evaluate key risks and opportunities associated with potential transactions.
• Valuation: Conduct valuation analysis to assess the financial viability and strategic fit of potential targets, including sensitivity analysis and scenario modeling.
• Deal Structuring: Work with legal, tax, and other teams to help structure the terms and conditions of transactions, ensuring alignment with corporate strategy and objectives.

• Transaction Documentation: Prepare and review key transaction documents, including term sheets, letters of intent (LOIs), and definitive agreements.
