Agastya Energy is seeking an experienced Company Secretary with 5+ years post-qualification experience to oversee corporate governance, regulatory compliance, and board secretarial duties in Delhi. Qualifications

  • Confidentiality and discretion in handling sensitive information.
  • Experience with investor relations or shareholder communications is a plus.

Responsibilities

  • Ensure compliance with Companies Act, SEBI (LODR), FEMA, RBI regulations, and other applicable laws.
  • Manage all board and committee meetings: drafting agenda, issuing notices, preparing minutes, and maintaining statutory registers.
  • Act as the point of contact between the company and regulatory bodies (e.g., MCA, SEBI, Stock Exchanges).
  • Handle filings and submissions with MCA, ROC, SEBI, and RBI (e.g., MGT-7, AOC-4, DIR-3 KYC, PAS-6).
  • Ensure timely disclosures and submissions as per SEBI Listing Obligations (if applicable).
  • Manage secretarial audits, corporate governance reporting, and internal policies.
  • Maintain and update the company’s statutory books and records.
  • Support mergers, acquisitions, and other strategic corporate actions.
  • Liaise with external stakeholders including legal advisors, auditors, and consultants.

  • 10+ years of relevant post-qualification experience in a corporate or listed company
  • In-depth understanding of corporate laws, SEBI regulations, and compliance requirements
  • Strong written and verbal communication skills
  • Ability to maintain confidentiality and exercise discretion
  • Proficient in MS Office and secretarial software (e.g., MCA portal, XBRL, compliance tools)
  • Experience in a listed entity or regulated industry (e.g., BFSI, Pharma, Energy)
  • Exposure to handling investor relations or shareholder communication
  • Knowledge of ESG reporting or corporate sustainability compliance is a plus
