Role Purpose
We are looking for a qualified and experienced Company Secretary to manage corporate secretarial, statutory and regulatory compliances across the organisation and its portfolio entities. The position will also provide secretarial and compliance support for new entity incorporations, joint ventures, acquisitions, restructuring and transfer of assets across entities, while partnering closely with internal stakeholders, fund administrators, authorised dealer banks, external advisors and regulatory authorities.
1. ROC & Corporate Secretarial Compliance
- Manage periodic and event-based ROC filings and statutory compliances for the organisation and group entities.
- Support incorporation of new companies/entities and completion of all related statutory requirements.
- Coordinate and complete ROC compliances relating to changes in share capital, directors, registered office, charges and other corporate actions.
2. RBI & Foreign Exchange Compliance
- Manage and coordinate RBI-related compliances arising from foreign remittances, investments and other applicable transactions.
- Coordinate with Fund Administrators, Authorised Dealer (AD) Banks and other stakeholders for completion of RBI filings and documentation.
- Track remittances and regulatory timelines and ensure there are no delays or Late Submission Fees.
3. New Entity / JV / Acquisition & Transaction Support
- Provide company secretarial and compliance support for onboarding of new JV entities, acquisitions and incorporation of new entities.
- Coordinate with internal legal, finance, investment and business teams and external advisors to ensure timely completion of transaction-related requirements.
- Support compliance requirements relating to transfer of SPVs/assets between investment funds and core entities.
- Coordinate increase in authorised share capital and complete related ROC filings.
4. Dematerialisation & Securities Management
- Manage the dematerialisation of securities, including obtaining ISINs and coordinating with relevant intermediaries.
- Liaise with Depositories, RTA, authorised intermediaries and other stakeholders for completion of dematerialisation-related activities.
5. Board & Members' Meetings
- Plan and coordinate Board Meetings, Committee Meetings and Members' Meetings in accordance with the Companies Act and applicable Secretarial Standards.
- Ensure timely circulation and preservation of statutory records and meeting documentation.
6. Compliance Management & Documentation
- Maintain and monitor the organisation's corporate compliance calendar and compliance management module.
- Ensure timely updating of compliance status, filing details and supporting documentation.
- Maintain proper digital and physical records of statutory and regulatory documents.
- Develop and maintain effective SOPs and controls for recurring compliance activities.
7. CSR Compliance
- Coordinate with relevant stakeholders for completion of Corporate Social Responsibility (CSR) requirements.
- Coordinate with the CSR Committee and Board for approval of CSR spending during the financial year.
- Maintain appropriate records and documentation relating to CSR approvals, spending and reporting.
8. Stakeholder Management
- Act as a key point of contact for internal and external stakeholders on corporate secretarial and compliance matters.
- Provide timely clarification, documentation and compliance support to Finance, Legal, Investments, Business, Fund Administration and other teams.
- Coordinate effectively with external consultants, legal advisors, auditors, fund administrators, banks, regulators and other professional agencies.
- Proactively identify stakeholder requirements and ensure timely resolution of compliance-related matters.
