The role collaborates with business, finance, procurement, and external counsel to provide practical legal guidance and to safeguard the company’s interests across Raipur DC operations. Candidates should have LL.B.

Qualifications

• LL.B./BA-LL.B. from a recognized university; corporate/commercial law is a plus.
• 1–3 years of corporate/commercial or in-house legal experience.
• Strong drafting, reviewing, and risk assessment for contracts.
• Proficient in contract management and legal research.

Responsibilities

• Draft, review and negotiate commercial and corporate agreements, including MSAs.
• Review contracts for liability, indemnity, IP, payment, warranties, and disputes.
• Support corporate compliance under Companies Act and other laws.
• Conduct legal research and provide inputs to stakeholders.
• Assist in due diligence, financing docs, and strategic projects.
• Maintain contracts, notices, obligations, renewals, and docs.
• Coordinate with external counsel, customers, vendors, and stakeholders.

Role Overview:

We are looking for a Legal & Corporate Counsel to manage corporate and commercial legal matters, including contract drafting, review and negotiation, corporate compliances, legal research, risk management, and due diligence. The role will work closely with business, finance, procurement, technical, and external legal teams to provide practical legal support and ensure regulatory compliance, particularly within a technology, infrastructure, data centre, or IT environment.

Key Responsibilities:

• Draft, review and negotiate commercial and corporate agreements, including MSAs,
• NDAs, MOUs, vendor agreements, service agreements, lease agreements, LOIs and other business contracts.
• Review contracts from a legal and commercial risk perspective, including clauses relating to liability, indemnity, confidentiality, IP, payment, warranties, termination, SLA and dispute resolution.
• Assist in corporate legal matters and compliances under the Companies Act and other applicable laws.
• Conduct legal research and provide practical legal inputs to internal stakeholders.
• Support due diligence, corporate transactions, financing documentation and strategic projects.
• Maintain and track contracts, legal notices, obligations, renewals and other legal documentation.
• Coordinate with external counsel, consultants, customers, vendors and other stakeholders on legal matters.
• Assist in identifying and mitigating legal and contractual risks across business operations.
• Support preparation of legal summaries, management notes, contract trackers and other internal legal documentation.

Required Skills:

• LL.B. / B.A. LL.B. from a recognised university; additional qualification in corporate/commercial law will be an advantage.
• 1-3 years of relevant experience in corporate, commercial or in-house legal practice.
• Strong drafting and reviewing skills for commercial contracts and corporate documents.
• Good understanding of the Companies Act, contract law and general corporate/commercial legal principles.
• Ability to identify legal and commercial risks and suggest practical solutions.
• Strong legal research, analytical and contract interpretation skills.
• Good written and verbal communication and negotiation skills.
• Strong attention to detail and ability to manage multiple matters and deadlines.
• Proficiency in MS Office / Google Workspace and contract/document management systems.
• Prior experience in technology, IT, data centres, infrastructure, cloud, SaaS or related businesses will be an advantage.
