InterviewPanel in Bengaluru is seeking an IT Legal Manager with 8+ years of post-qualification IT/technology law experience to lead complex technology contracts and data privacy compliance. Qualifications

• 8+ years PQE in IT/Technology Legal or Corporate/Commercial Legal roles.
• Strong drafting, reviewing, and negotiating SaaS agreements, MSAs, SOWs and NDAs.

Responsibilities

• Draft, review, negotiate, and manage SaaS agreements, MSAs, SOWs, NDAs, and other IT and technology vendor contracts.
• Provide legal advice on technology procurement, IT services, software licensing, cloud services, and vendor engagements.
• Advise stakeholders on data privacy, data protection, privacy assessments, and regulatory compliance.
• Provide guidance on DPDP Act, GDPR and other applicable laws.
• Lead contract negotiations with technology vendors and service providers balancing commercial objectives with risk.
• Conduct contractual and legal risk assessments and recommend mitigations.
• Coordinate with IT, Digital, Procurement, Information Security, Finance, and business teams to deliver practical legal solutions.
• Support stakeholders in resolving contractual issues including liability, indemnity, IP, warranties, termination, and dispute resolution.
• Maintain oversight of contractual obligations, risks, and compliance requirements.
• Assist development of standard templates, playbooks, processes, and legal guidelines for IT engagements.

Job Description IT Legal Manager

Key Responsibilities

• Draft, review, negotiate, and manage SaaS agreements, Master Service Agreements (MSAs), Statements of Work (SOWs), NDAs, and other IT and technology vendor contracts.
• Provide legal advice on technology procurement, IT services, digital initiatives, software licensing, cloud services, and vendor engagements.
• Advise stakeholders on data privacy, data protection, privacy assessments, and regulatory compliance.
• Provide guidance on applicable privacy and data protection regulations, including the Digital Personal Data Protection (DPDP) Act, GDPR, and other relevant laws.
• Lead contract negotiations with technology vendors, service providers, and other external partners, balancing commercial objectives with legal and business risks.
• Conduct contractual and legal risk assessments and recommend appropriate mitigation measures.
• Partner with IT, Digital, Procurement, Information Security, Finance, and business teams to understand requirements and provide commercially practical legal solutions.
• Support stakeholders in identifying and resolving contractual issues, including liability, indemnity, confidentiality, intellectual property, data protection, warranties, termination, and dispute resolution.
• Coordinate with internal and external stakeholders to ensure timely execution and closure of contracts.
• Maintain oversight of contractual obligations, risks, and compliance requirements.
• Support the development and improvement of standard contract templates, playbooks, processes, and legal guidelines for technology and IT engagements.

Required Qualifications & Experience

• 8+ years of relevant post-qualification experience (PQE) in IT/Technology Legal, Corporate Legal, Commercial Legal, or a similar role.
• Strong hands-on experience in drafting, reviewing, and negotiating SaaS agreements, MSAs, SOWs, NDAs, and technology/vendor contracts.
• Good understanding of data privacy and data protection laws, including the DPDP Act and GDPR.
• Strong knowledge of commercial and technology contracting principles.
• Excellent drafting, negotiation, analytical, and risk assessment skills.
• Strong stakeholder management and business partnering skills.
• Ability to work independently, manage multiple priorities, and operate effectively in a fast-paced business environment.
