Job summary

K C Mehta & Co LLP, a full-service advisory firm based in Vadodara, is hiring an Assistant Manager for Strategy & Transactions. You will participate in end-to-end deal advisory engagements, advising on financial transactions including M&A and fund raises, and work with investors, corporates, and banks to deliver buy-side and sell-side services.

The role requires MBA/CFA/CA or equivalent, 0-3 years of experience in transaction advisory, FP&A or audit, strong financial modelling and valuation

Qualifications

• MBA, CFA, CA or equivalent finance/accounting qualification.

• Advanced financial modelling and valuation skills (DCF, LBO, Comparable Multiples).

• Transaction Advisory & Deal Execution: Carry out financial due diligence, including valuation considerations; Provide buy-side and sell-side support; Support clients in capital raising efforts; Support IPOs by managing end-to-end process; Structure deals with advisors and professionals.
• Team Leadership & Business Development: Mentor junior team members; Contribute to business development and client pitches.

Role Overview:

As Assistant Manager – Strategy & Transactions, you will be part of end-to-end deal advisory engagements and advise clients on financial transactions including M&A as well as private or public market fund raises. You will work closely with investors, corporate executives, and financial institutions to deliver end to end buy-side and sell-side transaction advisory, due diligence, and valuation services.

Key Responsibilities:

Transaction Advisory & Deal Execution

• 1. Carry out financial due diligence (including key valuation considerations such as Quality of Earnings, adjusted net debt, normalised working capital assessment, risk analysis and mitigation strategies).
• 2. Provide buy-side and sell-side support, including data sanitization and management.
• 3. Support clients in capital raising efforts, including private equity, venture capital, and debt financing.
• 4. Support clients in public fund raise through IPOs by managing the end-to-end IPO process and co-ordinating the efforts of all external advisors and professionals involved.
• 5. Work with legal, tax, and financial advisors to structure deals efficiently.
• 1. Prepare valuation models, financial projections, and scenario analysis.
• 2. Assess synergies, integration risks, and commercial feasibility of transactions.
• 3. Prepare investment memorandums, pitch books, and board presentations.
• 4. Identify red flags and risks during due diligence and recommend risk mitigation strategies.

Team Leadership & Business Development

• 1. Mentor and develop junior team members, fostering a high-performance culture.
• 2. Contribute to business development efforts, including proposal writing and client pitches.
