Job summary

We are looking to expand our Succession Planning Team at K C Mehta & Co LLP.

Role Overview

Designation: Deputy Manager, Manager (3-9) / Associate Director, Director (10+ years)

Experience: 3 - 9 years / 10+ years post-qualification

Qualification: Chartered Accountant

Location: Vadodara (preferred) | Ahmedabad | Mumbai

We are looking for an experienced CA to join our Succession Planning team. The role will involve independently leading succession and estate planning assignments for business families and HNIs, from understanding the family's objectives through structuring, drafting and implementation.

The candidate should be able to look beyond individual tax or legal provisions and understand the business strategy, ownership structure and future plans of the family, and design a succession structure accordingly.

What will you do

Transaction & Deal Support

  • Lead succession and estate planning assignments covering:
  • Operating businesses and promoter shareholdings;
  • Immovable and passive income-generating assets;
  • Investments, artwork and other family wealth.
  • Analyse the family's current ownership, family dynamics, commercial objectives and long-term goals and determine the appropriate succession architecture.
  • Design and evaluate structures involving private trusts, Wills, family arrangements, family charter, gifts, partition arrangements, holding structures and family governance mechanisms.
  • Advise on the interaction between ownership succession and management succession, including continuity of the operating business and the role of the next generation.
  • Consider the impact of potential M&A, restructuring, business sale or other corporate events while designing the succession structure.
  • For pre-IPO / IPO-bound businesses, factor in DRHP disclosure requirements, promoter contribution, lock-in, holding-period requirements and other listing considerations while determining the timing and structure.
  • For listed companies, consider SEBI regulations, promoter / promoter-group requirements, disclosure obligations, transfer restrictions and, where applicable, SEBI / other regulatory approvals, and structure accordingly.
  • Analyse Indian tax, stamp duty, Companies Act, FEMA, SEBI and succession-law implications of proposed structures.
  • Lead assignments involving NRIs / non-resident trustees or beneficiaries, foreign trusts, overseas foundations and foreign assets, including Indian tax and FEMA considerations.
  • Develop an in-principle view on overseas taxation, succession / estate laws and inheritance or estate-tax implications, with specialist teams involved where detailed foreign-law advice is required.
  • Draft, review and finalise trust deeds, Wills, family arrangements, shareholder agreements, family charters, partition deeds and other transaction / succession documents.
  • Prepare structure notes, technical opinions and presentations explaining alternatives, risks and recommended structures.
  • Lead discussions with clients / family members and translate commercial and family objectives into workable legal and tax structures.
  • Coordinate with internal specialists and external legal, tax, regulatory, valuation and other advisers to implement the structure.
  • Supervise junior team members and review their research, drafting and technical work.
