Responsibilities

• Conduct legal and regulatory research across the Income Tax Act, Companies Act, FEMA, Stamp Duty, SEBI Regulations, IND AS and other applicable laws for live transactions.
• Analyse business models and commercial objectives to support the design of cost-efficient transaction structures and assist in execution of mergers, demergers, acquisitions, shareholder exits, fund repatriation, pre-IPO restructuring, domestic and cross-border reorganisations and succession planning.
• Prepare technical notes, opinions, presentations and transaction documents based on detailed legal and commercial analysis.
• Collaborate with internal teams and external advisors while staying updated on legal, regulatory and judicial developments relevant to transactions.
• Design succession strategies for operating businesses, passive income assets, artwork or charities.
• Strategic advice on HUF matters and tax-efficient intra-family wealth transfer.
• Drafting shareholder agreements, family arrangements, and partition deeds and preparing technical notes, presentations and transaction documents.
• Designing trust structures to ensure continuity, control, and protection.
• Developing family charters and governance frameworks to align values and reduce conflict.
