Job summary

Vedant Fashions seeks an experienced Corporate Counsel to manage commercial contracts, data privacy, and IP matters in alignment with business goals. You will draft, review, and negotiate MSAs, SOWs, DPAs, IP licenses, and other agreements, while advising senior leadership on legal risk and compliance.

The role requires collaboration with Sales, IT, HR, and Procurement to support strategic initiatives. Ideal candidates have 8-12 years of non-litigation experience, strong contracting exposure,

Qualifications

• 8-12 years of non-litigation legal experience.
• Strong exposure to commercial contracting.
• Experience in handling privacy and data protection matters.
• Comfortable interacting with senior stakeholders and business heads.
• Litigation exposure may be considered as an advantage but non-litigation experience is preferred.

Responsibilities

• Draft, review, negotiate, and finalize commercial agreements including MSA, SOW, EULA, Franchise, Vendor, SLA, DPA, NDA, Lease/Leave & License, Marketing and MOU.
• Provide practical legal advice balancing business requirements and legal risk.
• Identify contractual, legal, operational, and commercial risks.
• Support contract lifecycle management, amendments, renewals, and terminations.
• Maintain contract governance and compliance standards.
• Advise on data privacy obligations and draft privacy-related clauses.
• Draft and negotiate DPAs and privacy-related agreements.
• Support privacy compliance initiatives and monitor data protection risks.
• Collaborate with HR, IT, Procurement, Operations, and Business teams.
• Assist in implementing privacy policies and controls.
• Advise on copyrights, trademarks, licensing, technology agreements, software usage rights, branding rights.
• Draft and review IP-related clauses and protect company IP assets.
• Partner with Business, Sales, Marketing, HR, Procurement, and Operations; deliver commercially pragmatic guidance; conduct awareness and training sessions.

• Draft, review, negotiate, and finalize commercial agreements including:
• Master Service Agreements (MSA)
• Statements of Work (SOW)
• End User License Agreements (EULA)
• Franchise Agreements
• Vendor Agreements
• Supplier Agreements
• Service Level Agreements (SLA)
• Data Processing Agreements (DPA)
• Non-Disclosure Agreements (NDA)
• Lease and Leave & License Agreements

• Provide practical legal advice balancing business requirements and legal risk.

• Advise business functions on data privacy obligations.

• Monitor data protection risks in commercial engagements.
