Job summary

RECRUITERS in Dublin is seeking an experienced Funds Company Secretary to take ownership of a portfolio of Irish regulated entities. This senior individual contributor role offers genuine ownership and close collaboration with boards and senior stakeholders.

You will manage the full board cycle, draft minutes, support Central Bank governance requirements, and maintain statutory registers, using governance platforms to ensure accuracy and timely filings.

Qualifications

• 7+ years’ Company Secretarial experience in Irish regulated funds.
• Strong knowledge of the Companies Act, ICAV Act and Central Bank governance requirements.
• Excellent board and minute-writing experience.
• Experience with governance platforms (Blueprint, Diligent Entities).

Responsibilities

• Act as primary CoSec contact across regulated investment funds, AIFMs/ManCos and MiFID firms.
• Managing the full board meeting cycle – agendas, board packs, attendance, minute drafting and action points.
• Supporting compliance with Central Bank of Ireland Corporate Governance, Fitness & Probity and Individual Accountability requirements.
• CRO and Central Bank filings and acting as Central Bank Portal Administrator.
• PCF/CF onboarding and Individual Questionnaire support.
• AGM/EGM preparation and statutory governance requirements.
• Incorporation of new companies and ICAVs.
• Maintaining statutory registers and governance records.
