A leading, top-tier professional services firm in Dublin is seeking an experienced Funds Company Secretary to join its well-established, highly regarded Funds Department. Reporting directly to the Head of the Funds CoSec team, this role offers excellent exposure to high-profile financial services clients within a collaborative and dynamic environment.
Role Overview
As a key member of the team, you will act as the primary point of contact for company secretarial services, managing a varied portfolio that includes regulated fund management companies/AIFMs, MiFID investment firms and investment funds.

Key Responsibilities
- Client & Portfolio Management: Serve as the primary governance contact for regulated entities, AIFMs, MiFID firms and investment fund portfolios
- Board & Committee Support: Deliver end-to-end meeting management - drafting agendas, compiling and circulating board packs, facilitating meetings, writing clear minutes and tracking action items
- Corporate Governance & Compliance: Ensure board alignment with the relevant Corporate Governance Codes, Central Bank of Ireland (CBI) Fitness and Probity Standards, Conduct Standards and the Individual Accountability Regime
- Regulatory Filings: Manage and submit statutory filings to both the Irish Companies Registration Office (CRO) and the Central Bank in a timely manner
- PCF & CF Onboarding: Coordinate fitness and probity documentation for Pre-Controlled Functions (PCFs) and Controlled Functions (CFs), including assistance with CBI Individual Questionnaires (IQs)
- CBI Portal Administration: Oversee portal access rights and complete both scheduled and ad-hoc regulatory returns
- Corporate Actions & Entity Lifecycle: Prepare AGM/EGM documentation, oversee company and ICAV incorporations and arrange document notarisation and apostilling
- Database Maintenance: Keep statutory registers accurate and up to date using Blueprint or Diligent Entities
Skills, Knowledge & Experience
- Experience: Minimum 3 years’ dedicated experience in Funds Company Secretarial practice
- Regulatory Expertise: Strong understanding of the Companies Act, ICAV Act, CBI corporate governance regulations and Fitness & Probity requirements
- Technical Proficiency: Hands-on experience with Blueprint, Diligent Entities, or similar governance and entity management software
- Core Competencies: Exceptional minute-writing ability, keen attention to detail, strong organisational skills and the capacity to balance multiple strict deadlines
- Personal Attributes: Energetic, collaborative team player who exercises full discretion when handling sensitive data
