Job summary

Carne Group in Dublin is seeking a Funds Lawyer with up to 1 year PQE to join the Legal Team. You will support Ireland-facing regulatory matters and assist with the formation, launch and distribution of UCITS and AIF funds, while onboarding clients to Carne's ManCo service offering.

The role involves drafting and negotiating fund documents and advising Carne Directors on regulatory issues, with opportunities for professional growth in a dynamic funds environment.

Qualifications

• Qualified lawyer with up to 1 year's PQE in a similar role, private practice or in-house.
• Experience with UCITS, AIFMD and related evolving regulatory environment governing funds.
• Proven ability to manage multiple projects in a dynamic business/regulatory setting.

Responsibilities

• Support the business from a legal and regulatory perspective in Ireland.
• Advise on formation, launch, registration and distribution of UCITS and AIF fund structures.
• Assist with onboarding of new clients to Carne’s ManCo service offering.
• Draft and negotiate fund documentation including management company/AIFM, investment management agreements, review prospectus and trust deeds.
• Support Carne Directors and Conducting Officers with regulatory issues and updates.
• Assist with business development, client services, product development and special projects.
• Liaise with external advisers and client counsel as needed.
• Assist in drafting and implementing regulatory documents.
• Participate in ad hoc projects as required.

What we are looking for?

Due to our successful and growing Management Company and AIFM business we are currently recruiting for a qualified lawyer (NQ, 1 years’ PQE) to join the Legal Team based in Dublin.

What are the minimum requirements for the role?

• Qualified lawyer with up to 1 years’ PQE in a similar role, either in private practice or in-house.
• Experience with and general knowledge of the laws and regulations impacting financial services providers and investment management businesses, preferably including familiarity with UCITS, AIFMD and their related evolving regulatory, compliance and governance environment, covering a variety of fund product types and asset classes
• Proven ability to handle multiple projects simultaneously in a dynamic business and regulatory environment

What are your responsibilities?

• Supporting the business from a legal and regulatory perspective in Ireland
• Advising and assisting on the formation, launch, registration and distribution of various fund structures, both UCITS and AIFs
• Advising and assisting with the on-boarding of new clients including on-boarding to our client's highly successful ManCo service offering
• Drafting and negotiating various agreements and fund documentation (including Management Company/AIFM and investment management agreements, review of prospectus, trust deeds, administration, custody and distribution agreements etc)
• Assisting and support the business generally/Carne´s teams on all Management Company/AIFM legal and regulatory issues and presenting internally on relevant legal and regulatory updates as appropriate
• Advise and assist Carne Directors and Conducting Officers Assist with business development and sales activities and client services teams as required (incl. product development and special project work)
• Liaising with external legal advisers and/or client's counsel
• Assisting with drafting and implementing of regulatory documents
• Ad hoc projects as required
