Job summary

Consulting Vanuatu Limited client in Dublin seeks a Qualified Company Secretary to join a team of six, working on corporate governance and statutory compliance matters.

The role requires CGI qualification, 3+ years' experience, and solid knowledge of Irish company law (Companies Act 2014). Salary is up to €65k with benefits including pension and health cover, with WFH 3 days per week.

Qualifications

• 3+ years experience as a qualified Company Secretary.
• Working knowledge of Irish company law and the Companies Act 2014.
• CGI qualification is mandatory.

Responsibilities

• Managing a portfolio of corporate clients.
• Advising on corporate compliance and filing statutory forms.
• Drafting minutes and resolutions for AGMs, EGMs and board meetings.
• Preparing documentation for statutory changes (e.g., name changes, constitutions).
• Occasional attendance at board meetings and travel to client offices.
• Updating company secretarial databases and minute books.
• Billing clients and debtors' collection; meeting budget targets.
• Notarisation and apostilling of documents; assisting with client requests.

Job description

Our client, a large Law Firm based in Dublin City, are looking to recruit a Qualified Company Secretary to join their team. This a permanent position and will work most closely with a team of 6 Company Secretaries, connected to a wider team. Our client is looking for a strong team player, who is CGI qualified, has working knowledge of the Companies Act 2014, and a willingness to train junior team members.

Salary: up to €65k

The Role:

• Managing a portfolio of corporate clients.
• Advising clients in relation to their corporate compliance obligations and arranging for the preparation and filing of statutory forms at the Companies Registration Office.
• Drafting of minutes and resolutions in respect of AGMs, EGMs and board meetings.
• Preparation of documentation for various statutory changes, such as amendments to constitutions, change in name etc.
• Occasional attendance at board meetings and taking minutes. May involve travel to client's offices.
• Updating company secretarial databases.
• Maintenance of company secretarial records to include updating Minute Books and Statutory Registers.
• Assisting with requests from clients, auditors, solicitors and internal staff.
• Responsibility for billing clients and debtors' collection and for meeting the department's budgetary targets.
• Advising clients and the firm's other departments on statutory requirements.
• Assist with the notarisation and apostilling of documents.
• Ad hoc assignments.

The Candidate:

• CGI qualified. Unfortunately we can't consider candidates who are not CGI qualified.
• 3+ years experience as a qualified Company Secretary
• Working knowledge of Irish company law and familiarity with the Companies Act, 2014
• Conscientious, personable and adaptable.
