Job summary

Guotai Junan International is seeking an experienced attorney or compliance professional to support IPO and regulatory processes within the execution team. You will review legal documents, oversee due diligence, supervise KYC reviews, and ensure compliance with Listing Rules and Takeovers Codes.

Strong English and Chinese language skills are essential. The role requires 5+ years in IPOs or financial advisory, a law, accounting or finance degree, and a proven ability to work in a regulatory-heavy

Qualifications

• Professional qualification and/or university degree in Law, Accounting or Finance preferred.
• At least 5 years solid experience in IPO and/or financial advisory transactions.
• Work experience in regulatory body or sizeable firm preferred.
• Sound knowledge of Listing Rules, Takeovers Codes and regulatory requirements.
• Good communication, analytical and problem solving skills.
• Self-motivated, responsible and a good team player.
• Fluency in written and spoken English and Chinese (Mandarin and Cantonese)

Responsibilities

• Review legaldocuments relating to IPOs and assist execution team on finalization of documents.
• Review quality of due diligence for IPO projects and submissions to regulators.
• Supervise review of KYC documents (AML, name screening, desktop search).
• Identify issues on Listing Rules and regulatory requirements and update manuals and procedures.
• Review documentation and record-keeping for IPO and non-IPO projects (prospectus, listing documents, memoranda, checklists).
• Provide legal, compliance and professional support to the execution team

Responsibilities

• Review legaldocuments in relation to investment bank and equity capital market and providesupport to the execution team on the finalization of legal documents;
• Review quality of duediligence steps performed of IPO projects including submissions on major issuesto regulatory authorities and non-IPO projects;
• Supervise on thereview and inspection on various KYC documents (e.g. AML documents, namescreening and desktop search results)
• Identify issues ofListing Rule compliance, accounting matters and disclosure matters and updatein-house manuals, policies, protocols and procedure;
• Review documents andrecord keeping of IPO projects and non-IPO projects, including prospectus,other listing documents, memorandum, checklists and due diligence documentsprepared by the execution team; and
• Provide legal, complianceand other professional support to the execution team

Job Requirements
