Wolters Kluwer’s CP & ESG International’s large enterprise software business is looking for a legal counsel with software license and SaaS experience to support our international business in EMEA, the US, and APAC in the Finance, Risk, and Regulatory Reporting Software market. This role can be located in our offices in London, Canary Wharf, or elsewhere in Europe. The role reports to the Assistant General Counsel.

Responsibilities:

• Providing legal assistance in structuring, drafting, negotiating, interpreting, managing, and enforcing complex and high-value commercial transactions, including licensing, SaaS services, master services agreements, partnering, reseller, and vendor agreements.
• Negotiating high-value deals with banks and financial institutions across EMEA in English; proficiency in other European languages, especially French, is advantageous.
• Educating business teams on contracting, intellectual property rights, legal risks, and approval procedures.
• Providing legal counsel on corporate, commercial, and IP matters, including SaaS, software licensing, and strategic relationships.
• Supporting regulatory and compliance issues, such as GDPR, DORA, and sanctions.
• Building strong relationships with international sales teams.

Requirements:

• Law degree from a recognized institution.
• Ability to negotiate complex contracts in English; additional European languages, especially French, are advantageous.
• Experience negotiating with financial services clients is a plus.
• Minimum of 3 years of progressive corporate/commercial legal experience.
• Experience in law firms or corporate legal departments of medium to large companies.
• Hands-on experience drafting and negotiating sophisticated commercial and technology contracts.
• Ability to manage negotiations in a global, multi-stakeholder environment.
• Proactive, solutions-oriented approach.
• Excellent communication and organizational skills.
