We are looking for a proactive and detail-oriented individual with relevant experience to join our Legal team as Assistant Company Secretary. This key role within the Legal Services directorate supports the Governance Director & Company Secretary and the Deputy Company Secretary in delivering effective and compliant corporate governance and board/committee secretariat services.

You will work closely with board members (including non-executive directors and directors), the Executive Committee (ExCo), and colleagues across the Group to ensure SGN’s governance and decision-making processes are robustly supported. The role involves providing administrative and operational support for the corporate governance framework, assisting the Enterprise Governance and Company Secretariat team, and upholding high standards of governance. Attendance at Executive and Board meetings may be required to support secretariat functions.

  • Foster positive working relationships with key stakeholders, including the Chief Legal Officer (CLO), Executive Committee (ExCo), Board, shareholders, and the wider legal function.
  • Support the Enterprise Governance and Company Secretariat Team, contributing to team initiatives and assisting with coordination as required.
  • Develop a strong understanding of SGN’s business, legal, and regulatory framework, including Ofgem’s RIIO-GD3 framework and listed debt obligations (London and Channel Islands stock exchanges).
  • Assist in ensuring that company secretariat services comply with SGN’s statutory powers, licence conditions, internal governance, financial covenants, and applicable legislation.
  • Help maintain the Group’s Delegation of Authority, signing policies, and register of powers of attorney.
  • Provide secretariat support in a professional and ethical manner, delivering work within agreed timeframes.
  • Support the preparation and quality assurance of meeting papers, ensuring consistency with governance procedures and terms of reference.
  • Assist with the production of accurate and timely minutes, action logs, Board reports and packs, demonstrating strong attention to detail.
  • Help maintain accurate governance records and contribute to timely reporting to ExCo, the Board, and regulatory bodies.
  • Support transformation initiatives and executive-led programmes aimed at strengthening SGN’s governance and safety culture.
  • Provide adaptable administrative support across the Legal Services function, including non-specialist areas, as required.

What you will need

  • Some experience in a company secretariat or governance role, ideally in an assistant capacity.
  • Familiarity with regulatory sectors – experience in gas distribution or infrastructure is particularly advantageous.
  • A commitment to confidentiality and professionalism when working in sensitive environments.
  • Excellent attention to detail and a commitment to maintaining high standards.
  • A basic understanding of company law and the principles of corporate governance.
  • Strong written and verbal communication skills.
  • The ability to work effectively under pressure and adapt to shifting priorities.
  • A collaborative, team-oriented approach and well-developed interpersonal skills.
  • Familiarity with governance platforms such as Board Intelligence, Diligent, Blueprint, or similar systems (desirable).
  • Proficiency in Microsoft Word, Excel, PowerPoint, Adobe Acrobat, Teams, and SharePoint.
  • A motivated and inquisitive mindset, with a willingness to develop knowledge in governance and compliance.
  • Confidence working in a fast-paced and sensitive environment.
  • A proactive and ethically grounded approach to teamwork.
