Purpose of the Role
This position is the Assistant Company Secretary for AEGIS London Holdings Ltd., and its various subsidiaries, including AEGIS Managing Agency Ltd., a regulated Lloyd’s managing agent, (collectively, “AEGIS London” or the “Company”) and reports to the Company Secretary.
The purpose of the role is to support the Company Secretary in providing a comprehensive Company Secretarial service to the AEGIS London entities and business functions. In particular this will include minute taking, action management, preparing agendas and meeting materials and liaising with Directors, Committee members and senior members of management on Board and committee issues.
Duties And Accountabilities
- Support and assist the Company Secretary with the preparation and maintenance of meeting schedules, agendas, resolutions, work plans and action points for the Board and Committees
- Support the management team’s preparation of well-written and high-quality management information and coordinate its dissemination to Directors; to include a high degree of familiarity in using Diligent Boards.
- Attendance at and taking full and accurate minutes of Board and all Committee meetings as requested by the Company Secretary
- Support the Company Secretary in liaising with the Chairman and the Chief Executive Officer in ensuring the AEGIS London Boards and their Committees function efficiently and effectively
- Maintain effective working relationship with Non-executive Directors ("NEDs") and provide them with appropriate support and guidance
- Ensuring that all necessary filings are made in a timely manner with Companies House and that all statutory registers and company secretarial records are maintained
- Maintain the internal policies Index and ensure regular review by Policy owners
Skills, Knowledge And Experience
The successful candidate will be/have:
- Chartered Governance Professional preferred
- Experience in the Company Secretarial function in the context of the London insurance market or other insurance/ regulated financial services business is preferred
- Excellent knowledge and understanding of company law and UK corporate governance best practice
- Excellent organisational and written and oral communications skills
- Excellent minute taking and proficiency in drafting resolutions and other Board records
- The ability to form effective working relationships with senior stakeholders in executive and non-executive roles
- Good working knowledge of Diligent Entities and Diligent Boards
