Job summary

Hire Feed is seeking a contract-based M&A Corporate & Securities Attorney to oversee securities filings, corporate governance, and transactional compliance. This role offers exposure to high-stakes, multi-billion-dollar transactions within the financial services sector.

The ideal candidate is a licensed attorney with at least 5 years of M&A and securities experience, capable of drafting complex agreements and managing deadlines in a fast-paced environment.

Qualifications

• Licensed attorney with experience in securities law.
• Minimum 5 years of experience in M&A and corporate law, including SEC filings.
• Strong drafting and negotiation skills for transactional documents.
• In-depth knowledge of corporate governance best practices and compliance.
• Ability to manage multiple deadlines in high-pressure transactional environments.

Responsibilities

• Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
• Ensure compliance with SEC regulations and filings (Forms S-1, S-3, 8-K, 10-K).
• Advise on corporate governance matters, including board and shareholder meeting documentation.
• Conduct due diligence for M&A transactions and securities offerings.
• Liaise with external counsel, investment banks, and regulators as needed.
