EMEA Contracts Counsel — Tech & Cloud (EN/FR)

Job summary

Axway, based in Courbevoie, France, seeks an International Contracts Legal Counsel to oversee, draft, and negotiate software licenses, SaaS, cloud and service agreements for the EMEA region in English and French.

You’ll collaborate with Sales, Finance, and other teams to protect corporate interests, manage the internal approval process, and ensure compliance with data protection and security requirements (DORA, NIS2). Fluency in English is required.

Qualifications

• Fluent in English.
• Minimum of 8 years of significant experience within a Legal Department, ideally in a technology company.
• Strong attention to detail and a rigorous approach to work.
• Ability to work independently within assigned areas of responsibility while maintaining a strong team spirit.
• Solid knowledge of regulations relating to data protection and security requirements (including DORA and NIS2).
• Motivation to take on new challenges every day.
• Excellent organizational, decision-making, and communication skills.
• Experience with software products and cloud solutions would be highly appreciated.
• Knowledge of Italian and/or German would be a significant advantage.

Responsibilities

• Oversee, prepare, and negotiate legal documentation for the EMEA region, including software license agreements, SaaS and cloud agreements, service contracts, and NDAs for Axway entities across EMEA (mainly in French and English).
• Interact with various company functions (Sales, Finance, etc.) in both English and French.
• Manage the company’s legal activities to safeguard corporate interests and advise operational teams and managers on laws and regulations impacting their domains.
• Manage all documents throughout the internal legal approval process.
• Draft and review contracts proposed by customers, as well as suppliers and partners, formal agreements, and other legal instruments (primarily in English and French).
