Main Responsibilities:

  • Manage complex structuring projects, including legal, regulatory, operational, and project management aspects;
  • Draft and supervise the drafting of legal documents such as term sheets, partnership agreements, articles of association, private placement memoranda, subscription agreements, side letters, and service agreements for various fund structures;
  • Lead the design, formation, negotiation, and drafting of documentation for customized separate accounts, focusing on the German institutional market (e.g., insurance companies, pension funds);
  • Oversee marketing registrations in Germany and advise on local marketing requirements;
  • Research and develop fund structures tailored to the German market, compliant with local legislation and regulations;
  • Take responsibility for select funds and separate accounts, including maintenance and related processes, with a focus on the German market;
  • Develop skills and knowledge of Partners Group, especially relating to Structuring Services;
  • Coordinate with Partners Group Structuring Services and operational teams;
  • Research legal and regulatory considerations relevant to clients, products, and jurisdictions, with strong awareness of German market fund terms;
  • Manage external legal advisors and service providers.

What we expect:

  • Qualified lawyer (preferably German or Luxembourg qualified) with 10+ years of relevant experience at a top law firm, bank, or asset manager, focused on private markets investments;
  • Fluent German language skills (mandatory);
  • Experience forming and advising Luxembourg investment funds, with preference for experience with Delaware, Cayman Islands, or Guernsey funds;
  • Experience negotiating with institutional investors such as pension plans, insurance companies, endowments, and banks;
  • Deep knowledge of AIFMD, MiFID, and Solvency II in relation to investment funds;
  • Strong English contract drafting skills;
  • Experience with various fund structures, securitized vehicles, and innovative structures is a plus;
  • Self-motivated, proactive, eager to learn and succeed;
  • Excellent analytical, interpersonal, and project management skills, capable of managing multiple projects;
  • Ability to communicate complex issues effectively and propose solutions;
  • Knowledge of fund structures in private equity, real estate, debt, and infrastructure, including LPs, LLCs, trusts, REITs, and rated note funds;
  • Ability to consider tax implications in fund structuring;
  • Experience managing external counsel and meeting tight timelines;
  • Proficient in reviewing legal documents and mentoring junior staff;
  • Ability to collaborate with sales teams on new fund strategies.
