Qualifications

• Ontario Bar in good standing.
• 2–5 years of call.
• Training at a reputable corporate-law firm.
• Experience in public M&A, securities, capital markets and private equity.
• Ability to run files with partner supervision.

Responsibilities

• Advise on a range of corporate matters, focusing on private M&A transactions.
• Support on select public and capital markets matters as needed.
• Draft, review, and negotiate transaction documents incl. SPAs and ancillary agreements.
• Manage deal processes, including due diligence, closing coordination, and transaction execution.
• Work closely with partners and senior lawyers across mandates.
• Coordinate with internal teams across corporate and securities matters.
• Manage files with partner oversight and increasing autonomy.
• Support partners on active corporate and transactional mandates.

Responsibilities

• Advise on a range of corporate matters, with a focus on private M&A transactions


• Support on select public and capital markets matters as needed


• Draft, review, and negotiate transaction documents, including share and asset purchase agreements and ancillary agreements


• Manage deal processes, including due diligence, closing coordination, and transaction execution
